Shipping policy
SHIPPING POLICY
This Shipping Policy applies to orders placed with Henan Zongjie Biotechnology Co., Ltd. (“we”, “us”, “our”). Because many of our products are manufactured, formulated, packaged, labeled or otherwise prepared according to customer-specific requirements, shipping arrangements may vary depending on the product, destination, order quantity, Incoterm, named place and other terms agreed for each order.
Please review the shipping terms in your quotation, draft order, invoice or other confirmed order document carefully before approving or paying for an order.
1. PRODUCTION LEAD TIME
Production lead time and shipping transit time are separate.
Production lead time begins only after all applicable order requirements have been satisfied, which may include:
- order confirmation;
- receipt of the required payment or deposit;
- approval of product specifications;
- approval of formulas, samples, artwork, labels or packaging where applicable;
- receipt of customer-supplied information or materials; and
- completion of any other agreed pre-production requirements.
Estimated production lead times may vary according to product type, formulation, quantity, packaging, raw material availability, testing requirements, customization complexity and manufacturing capacity.
Any production lead time communicated before all order details are finalized is an estimate only unless expressly confirmed in writing.
2. ESTIMATED SHIPPING AND DELIVERY TIMES
Shipping and delivery times depend on the selected transportation method, destination, customs procedures, carrier schedules and other factors outside our direct control.
Any transit time, estimated departure date or estimated arrival date provided by us is an estimate unless expressly agreed otherwise in writing.
Estimated delivery times do not constitute a guarantee of delivery on a specific date.
3. SHIPPING METHODS
Depending on the destination, shipment size and agreed order terms, available shipping methods may include:
- international express courier;
- air freight;
- sea freight;
- rail freight;
- truck or local freight services;
- multimodal transportation; or
- other shipping arrangements agreed with the customer.
The actual shipping method applicable to an order will be confirmed through the relevant quotation, draft order, invoice or other order documentation.
4. INCOTERMS AND NAMED PLACE
Where applicable, international shipping responsibilities will be determined according to the Incoterm and named place confirmed for the relevant order.
Depending on the transaction, agreed Incoterms may include, without limitation:
- EXW;
- FCA;
- FAS;
- FOB;
- CFR;
- CIF;
- CPT;
- CIP;
- DAP; and
- DDP.
The applicable Incoterm, named place and any agreed modifications will determine the parties' respective obligations regarding transportation, cost allocation, export or import formalities, insurance, delivery and transfer of risk.
If an Incoterm is specified, it will be interpreted in accordance with the version of the Incoterms rules identified in the relevant order documents or, if no version is stated, the version reasonably applicable at the time of the transaction.
5. SHIPPING COSTS
Shipping costs may be included in the order price, quoted separately, charged to the customer or arranged directly by the customer, depending on the applicable Incoterm and agreed shipping terms.
Shipping charges may be based on factors including:
- gross weight and volumetric weight;
- shipment dimensions;
- destination;
- transportation method;
- fuel surcharges;
- remote-area or special handling fees;
- insurance;
- customs-related services; and
- other carrier or third-party charges.
Unless expressly confirmed as fixed, shipping quotations may be subject to adjustment if carrier rates, shipment dimensions, weight, destination conditions or other relevant factors change before shipment.
6. CUSTOMS, DUTIES AND IMPORT REQUIREMENTS
International shipments may be subject to customs procedures, inspections, duties, taxes, import fees, permits, registrations, product compliance requirements or other destination-country requirements.
Responsibility for customs clearance, import duties, taxes, regulatory filings and related costs will be determined according to the agreed Incoterm and order terms.
Unless we have expressly agreed in writing to assume a particular import responsibility, the customer is responsible for confirming that the products may lawfully be imported, marketed, distributed or used in the destination country or region.
Customs authorities or other regulatory agencies may delay, inspect, reject, hold or require additional documentation for a shipment. Such actions may affect delivery timing.
7. SHIPPING DOCUMENTS
Depending on the order and shipping arrangement, we may provide available commercial and transportation documents such as:
- commercial invoice;
- packing list;
- bill of lading;
- air waybill;
- courier tracking information;
- certificate of origin, where agreed and available;
- product or quality documents, where agreed; and
- other documents reasonably required under the agreed order terms.
Any special documentation requirement should be communicated and confirmed before production or shipment.
8. SHIPPING INSURANCE
Shipping insurance will be arranged only where required by the applicable Incoterm or expressly agreed for the order.
Where the customer is responsible for transportation or insurance, the customer should arrange appropriate cargo insurance based on the value and nature of the shipment.
Insurance coverage, exclusions and claim procedures are subject to the terms of the relevant insurer.
9. TRANSFER OF RISK
Risk of loss or damage to goods will transfer in accordance with the Incoterm, named place and other delivery terms agreed for the relevant order.
Risk transfer does not necessarily occur at the same time as payment, shipment, delivery or transfer of ownership.
The relevant order documentation should be reviewed to determine the applicable risk-transfer point.
10. TRACKING INFORMATION
Where tracking information is available, we will provide it after shipment or make it available through the applicable order or customer communication channel.
Tracking updates are generated by carriers or logistics providers and may not always update in real time.
For sea, air, rail or other freight shipments, tracking detail and frequency may differ from express courier services.
11. PARTIAL SHIPMENTS
Where commercially reasonable and permitted by the confirmed order terms, an order may be shipped in multiple lots or partial shipments.
Partial shipment arrangements may be used because of production schedules, inventory availability, transportation capacity, customer request or other operational considerations.
Any material change to the agreed shipment structure will be communicated where reasonably practicable.
12. SHIPPING DELAYS
We are not responsible for delays caused by circumstances outside our reasonable control, including but not limited to:
- carrier delays;
- port congestion;
- customs inspections or clearance delays;
- government restrictions;
- regulatory inspections;
- weather;
- natural disasters;
- war, civil disturbance or geopolitical events;
- labor disputes;
- transportation disruption;
- public health emergencies;
- force majeure events;
- customer-requested changes; or
- incomplete or inaccurate customer information.
Where a material delay occurs, we will make reasonable efforts to communicate available information and cooperate in identifying practical next steps.
13. CUSTOMER SHIPPING INFORMATION
The customer is responsible for providing complete and accurate consignee, delivery, contact and shipping information.
This may include:
- recipient or company name;
- street address;
- postal code;
- city, state, province or region;
- country;
- telephone number;
- email address;
- tax or importer information where required; and
- other details required by the carrier or customs authority.
Additional costs or delays caused by incorrect, incomplete or changed shipping information may be charged to the customer where reasonably applicable.
14. FAILED DELIVERY, REFUSAL OR UNCLAIMED SHIPMENTS
If a shipment cannot be delivered because of an incorrect address, unavailable recipient, refusal to accept delivery, failure to complete import procedures, failure to pay applicable destination charges or other circumstances attributable to the customer, additional storage, return, redelivery, disposal or other charges may apply.
Any such costs may be charged to the customer to the extent permitted by the agreed order terms and applicable law.
15. SHIPPING DAMAGE OR LOSS
Please inspect shipments promptly upon receipt.
If goods are visibly damaged, lost or materially affected during transportation, please preserve relevant evidence, including packaging, photographs, videos, carrier records and tracking information.
Responsibility for shipping damage or loss will be determined according to the agreed Incoterm, insurance arrangement, carrier liability and other applicable shipping terms.
Where appropriate, we will reasonably cooperate by providing shipment documentation available to us for use in a carrier or insurance claim.
Shipping-related claims should also be reviewed together with our Refund Policy.
16. CUSTOMER-ARRANGED SHIPPING
Where the customer selects or appoints a freight forwarder, courier, carrier or other logistics provider, the customer is responsible for the relationship with that provider except to the extent otherwise expressly agreed.
We will reasonably cooperate with the nominated logistics provider in accordance with the agreed delivery terms.
Any additional handling, documentation, storage or operational requirements imposed by a customer-appointed provider may result in additional charges where applicable.
17. CHANGES TO SHIPPING ARRANGEMENTS
Requests to change the delivery address, transportation method, consignee, Incoterm, named place or other shipping terms after an order has been confirmed are subject to our approval and operational feasibility.
Changes may affect pricing, production schedules, documentation, customs requirements, delivery dates and other order terms.
Any additional cost resulting from an approved customer-requested change may be charged to the customer.
18. CONFLICT WITH SPECIFIC ORDER TERMS
A quotation, draft order, invoice, purchase agreement, manufacturing agreement, Incoterm, named place or other written transaction document may contain shipping or delivery terms specifically applicable to a particular order.
If those specific written terms conflict with this general Shipping Policy, the specific written terms will prevail for that transaction to the extent of the conflict.
19. MANDATORY LEGAL RIGHTS
Nothing in this Shipping Policy excludes, restricts or modifies any right or remedy that cannot lawfully be excluded or restricted under applicable law.
