Prices, discounts, quotations and promotional terms are subject to change unless otherwise confirmed in an accepted quotation, draft order, invoice or other written agreement.

The price applicable to an order will be the price confirmed through the applicable ordering process.

Unless otherwise expressly stated or agreed, prices may exclude shipping, customs duties, import charges and other destination-specific costs. Taxes and other charges will be handled in accordance with the applicable quotation, order terms and applicable law.

You agree to provide current, complete and accurate billing, payment and account information for all transactions.

You agree to promptly update information necessary for us to complete transactions and communicate with you.

You represent and warrant that any payment information you provide is accurate and that you are duly authorized to use the relevant payment method.

You agree to pay all amounts due under your confirmed order in accordance with the agreed payment terms.

SECTION 5 - SHIPPING AND DELIVERY

Delivery dates, production lead times, transit times and estimated arrival dates are estimates unless expressly agreed otherwise in writing.

We are not responsible for delays caused by carriers, customs authorities, inspections, force majeure events, customer-requested changes, incomplete information, regulatory requirements or other circumstances outside our reasonable control.

Shipping responsibilities, costs, title, delivery obligations and transfer of risk will be determined according to the Incoterm, named place, shipping arrangement or other delivery terms agreed for the relevant order.

Where no specific delivery term has been agreed, the applicable shipping and risk arrangements will be determined in accordance with the confirmed order documents and applicable law.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, HENAN ZONGJIE BIOTECHNOLOGY CO., LTD., ITS AFFILIATES, PARTNERS, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, CONTRACTORS, SERVICE PROVIDERS AND LICENSORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOST SAVINGS, LOSS OF DATA OR SIMILAR LOSSES, ARISING FROM OR RELATED TO THE SERVICES OR PRODUCTS, EXCEPT WHERE SUCH LIABILITY CANNOT LAWFULLY BE LIMITED OR EXCLUDED.

Nothing in these Terms excludes liability for fraud, intentional misconduct or any other liability that cannot be excluded under applicable law.
